These Terms of Service ("Terms") govern your access to and use of the websites, applications, and services offered by 9 Line (collectively, the "Service"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Our Privacy Policy explains how we handle personal information. The Disclaimer describes important limitations on our role in equipment transactions.

Agreement to these Terms

By creating an account, listing equipment, placing a bid or offer, sending messages, or otherwise using the Service, you agree to these Terms and to any additional terms presented for specific features (for example payment flows or seller verification).

Eligibility

The Service is intended for users located in the United States who can form a binding contract. You must be at least eighteen (18) years old (or the age of majority where you live). You represent that information you provide is accurate and that you will keep it current.

The Service

9 Line operates an online marketplace where sellers can offer heavy equipment and related assets and buyers can browse, message sellers, and complete purchases or winning bids as described in each listing. Features may change over time.

We may modify, suspend, or discontinue any part of the Service, and we are not responsible if availability is interrupted for maintenance, security, or reasons outside our reasonable control.

Accounts and security

You are responsible for all activity under your account and for safeguarding your credentials. Notify us promptly at support@nineline.com if you suspect unauthorized access. We may suspend or terminate accounts that violate these Terms or pose risk to other users or the Service.

Marketplace role

9 Line is a neutral platform that connects buyers and sellers. We are not the seller, buyer, broker, insurer, escrow agent, or warranty provider for listed equipment unless we expressly say otherwise in writing for a specific transaction. You are responsible for your own due diligence, negotiations, taxes, permits, and compliance with laws that apply to your sale or purchase.

Listings and selling

If you sell on the Service, you agree that:

  • Your listings will describe the equipment honestly and include information a reasonable buyer would need (condition, known defects, title or lien issues you are aware of, location, and any material limits on the sale).
  • You have the right to sell the equipment and will comply with applicable laws, including export, environmental, and safety rules where they apply.
  • You will honor a completed transaction according to the listing terms and checkout flow, subject to legitimate cancellation rights described on the Service.
  • You will pay applicable fees described on our Pricing page and in checkout. Fees may be charged whether or not an item sells, as stated at the time of purchase of those services.

We may remove or restrict listings that appear fraudulent, illegal, unsafe, or inconsistent with our policies, or that we believe create liability for users or 9 Line.

Buying and bidding

If you buy or bid on the Service, you agree that:

  • You will review listing details, photos, and seller messages carefully before placing a bid or completing a purchase. Heavy equipment transactions involve significant risk; if you are unsure, do not bid or buy.
  • Bids you place in an auction are binding offers subject to auction rules, reserve status, and any outbid or cancellation mechanics shown in the product. You may need a valid payment method on file to bid.
  • You will complete payment when required after a sale or winning bid, and coordinate pickup, delivery, and risk of loss with the seller as described in the listing or checkout, unless the Service describes a different flow.

Payments and fees

Payments may be processed by third-party payment processors. By paying through the Service, you agree to their terms and privacy practices where applicable, in addition to ours. Pricing, taxes, and platform fees will be presented before you commit where required.

If you dispute a charge, contact us and the payment method issuer as appropriate. Chargebacks or disputes handled in bad faith may result in suspension of your account.

Messaging and content

You are responsible for content you post, upload, or send through the Service (including messages, listings, images, and reviews). You may not use messaging to harass others, send spam, or promote unrelated commercial schemes. We may monitor or scan content as permitted by law to enforce these Terms and protect users.

Prohibited conduct

You may not:

  • Violate any law or third-party rights.
  • List stolen, counterfeit, or embargoed equipment, or use the Service to launder money.
  • Circumvent fees, manipulate bids, collude with others to distort prices, or use bots to abuse the Service.
  • Attempt unauthorized access to our systems, scrape the Service in bulk without permission, or interfere with security or performance.
  • Impersonate another person or misrepresent your affiliation with any party.

Intellectual property

The Service, including branding, layout, and software, is owned by 9 Line or our licensors. You receive a limited, revocable license to use the Service for its intended purpose.

You grant 9 Line a worldwide, non-exclusive license to host, display, reproduce, and distribute your content as needed to operate, promote, and improve the Service (for example showing your listing to buyers). You represent you have the rights to grant this license for content you provide.

Disclaimers; limitation of liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT LISTINGS ARE ACCURATE, THAT EQUIPMENT IS MERCHANTABLE OR SAFE FOR ANY USE, OR THAT TRANSACTIONS WILL COMPLETE SUCCESSFULLY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL 9 LINE OR ITS AFFILIATES OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE OR ANY EQUIPMENT TRANSACTION, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN PLATFORM FEES FOR THE SPECIFIC TRANSACTION GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100), EXCEPT WHERE LIMITATION IS NOT ENFORCEABLE UNDER APPLICABLE LAW. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES OUR LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

Indemnity

You will defend, indemnify, and hold harmless 9 Line and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your content, your use of the Service, your violation of these Terms, or your equipment transactions with other users, except to the extent caused by our willful misconduct.

Suspension and termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, if we must comply with law, or if we choose to wind down the Service. Provisions that by their nature should survive (including disclaimers, limitations of liability, indemnity, and governing law) will survive termination.

Governing law and disputes

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law principles. You agree that any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Wilmington, Delaware, and you consent to personal jurisdiction there.

Changes to these Terms

We may update these Terms from time to time. We will post the updated version on this page and change the "Last updated" date. If a change is material, we may provide additional notice (for example by email or banner). Continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.

General

These Terms, together with the Privacy Policy, Disclaimer, and any feature-specific terms we present in the product, are the entire agreement between you and 9 Line regarding the Service and supersede prior understandings on that subject.

If any provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver of the right to enforce it later. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
